THE TERMS AND CONDITIONS OF PRODUCT SALES AND SERVICE PROJECTS ARE LIMITED TO THOSE CONTAINED HEREIN. ANY ADDITIONAL OR DIFFERENT TERMS OR CONDITIONS IN ANY FORM DELIVERED BY YOU ("CUSTOMER") ARE HEREBY DEEMED TO BE MATERIAL ALTERATIONS AND NOTICE OF OBJECTION TO THEM AND REJECTION OF THEM IS HEREBY GIVEN.
BY ACCEPTING DELIVERY OF THE PRODUCTS OR BY ENGAGING THE CDW AFFILIATE IDENTIFED ON THE INVOICE, STATEMENT OF WORK OR OTHER CDW DOCUMENTATION ("SELLER") TO PROVIDE PRODUCT OR PERFORM OR PROCURE ANY SERVICES, CUSTOMER AGREES TO BE BOUND BY AND ACCEPTS THESE TERMS AND CONDITIONS UNLESS CUSTOMER AND SELLER HAVE SIGNED A SEPARATE AGREEMENT, IN WHICH CASE THE SEPARATE AGREEMENT WILL GOVERN.
ANY GENERAL DESCRIPTION OF THE TYPES OF PRODUCTS OR SERVICES AND RESULTS THEREOF POSTED ON ANY SELLER WEBSITE OR MOBILE APPLICATION DO NOT CONSTITUTE PART OF THE AGREEMENT BETWEEN SELLER AND CUSTOMER.
Important Information About These Terms and Conditions
These Terms and Conditions constitute a binding contract between Customer and Seller and are referred to herein as either "Terms and Conditions" or this "Agreement". Customer accepts these Terms and Conditions by making a purchase from or placing an order with Seller or shopping on any Seller Website or Mobile Application (each, a "Site") or otherwise requesting products (the “Products”) or engaging Seller to perform or procure any Services (as this and all capitalized terms are defined herein). These Terms and Conditions are subject to change without prior notice, except that the Terms and Conditions posted on a Site at the time Customer places an order or signs a Statement of Work will govern the order in question, unless otherwise agreed in writing by Seller and Customer.
Customer consents to receiving electronic records, which may be provided via a Web browser or e-mail application connected to the Internet; individual consumers may withdraw consent to receiving electronic records or have the record provided in non-electronic form by contacting Seller. In addition, Internet connectivity requires access services from an Internet access provider. Contact your local access provider for details. Electronic signatures (or copies of signatures sent via electronic means) are the equivalent of written and signed documents.
Customer may issue a purchase order for administrative purposes only. Additional or different terms and conditions contained in any such purchase order will be null and void. No course of prior dealings between the parties and no usage of trade will be relevant to determine the meaning of these Terms and Conditions or any purchase order or invoice, or any document in electronic or written form that is signed and delivered by each of the parties for the performance of Services other than Third Party Services (each, a “Statement of Work”). This Agreement contains the entire understanding of the parties with respect to the matters contained herein and supersedes and replaces in its entirety any and all prior communications and contemporaneous agreements and understandings, whether oral, written, electronic or implied, if any, between the parties with respect to the subject matter hereof.
GovFilingsOnline is a document prep and filing service for certain government documents including federal filings, state filings, and other services. GovFilingsOnline is a document prep and filing service. We are not a government agency, and you can obtain government filings through the issuing government office at a reduced fee or for free by filing on your own. By hiring GovFilingsOnline, you agree to understanding we are a third party filing service, and charge a fee for our service to perform filings.
Vital Record Request Filing Services: Our birth certificate or vital record filing service generally has four parts: 1) Gathering and preparing the proper paperwork and materials for your specific birth certificate request. This will vary depending on the state/county of birth and type of request. 2) Creating customized next steps for the client to complete any additional state requirements to obtain the birth certificate. This may vary by the state of birth, county of birth, and the client's relationship to the subject of the record. 3) Preparing any items required such that the birth certificate request paperwork can be easily and effortlessly be filed by our client. Generally, this means we will prepare a pre-addressed, pre-stamped envelope for our client such that the required documents can easily be sent to the issuing government office. 4) Delivering all of the above items to our client in what we call a Filing Package. In general, we mail the above items to our client's by regular US mail.
EIN or Business Filing Services: Our Federal EIN Filing and Setup service is one where GovFilingsOnline will file for and set up a federal employer identification number (EIN) through the IRS for a client. We will send a computer screenshot of the completed EIN, and the IRS will mail an official hard copy of the EIN.
Once your order is placed, GovFilingsOnline begins processing immediately, therefore processing fees are non-refundable. You agree that process fees will not be refunded under ANY circumstance. All sales are final.
GovFilingsOnline charges a fee to process, prepare, send or file government paperwork or online filings. There may be a separate government fee for the customer to file this paperwork with the appropriate government agency. GovFilingsOnline processing fees DO NOT cover any additional government or other fees that may be required by the issuing government agency.
Disputes & Collections
Any charges disputed through a financial institution will be assessed a $50 fee to cover damages caused by the dispute, as well as a $50 fee for collections. Disputed charges will be turned over to collections to recover the disputed fees as well as the $50 fee to cover damages and the $50 collection fee.
In the event that You insinuate of suggest you will open a bank dispute, GovFilingsOnline may issue a refund to avoid damages that may be caused by the dispute. In this case, we will turn this refunded amount over to collections, and will assess a $50 collections fee.
You agree to indemnify, defend and hold harmless GovFilingsOnline, its subsidiaries, directors, officers, owners, agents, employees, information providers, licensors, licensees, consultants, contractors and other applicable third parties (collectively, “indemnified Parties”), at your expense, from and against any and all claims, demands, causes of action, liability, debt, penalties, fines, costs and expenses (including, without limitation, reasonable attorneys’ fees and other dispute resolution expenses) incurred by the Indemnified Parties arising out of, related to, or which may arise from: (a) your misuse of the website or the GovFilingsOnline; (b) any breach or non-compliance by You of any term of this Agreement, any other GovFilingsOnline policy, or any third party’s terms and conditions; (c) any dispute or litigation caused by your actions or omissions; or (d) negligence or violation or alleged violation of any law or rights of a third party.

Other than You and GovFilingsOnline, no other person or company will be third party beneficiaries to the Terms.
